Krogerus advises Innofactor in the tender offer announced by Onni Bidco
Krogerus is advising Innofactor on a recommended voluntary public tender offer for all the outstanding shares in Innofactor. The offer values Innofactor's total equity at EUR 60 million. Shares in Innofactor are admitted to trading on the official list of Nasdaq Helsinki.
The offer is made by a consortium led by CapMan Growth, Sami Ensio, the founder, CEO and member of the Board of Directors of Innofactor, through a holding company, and the co-investor Osprey Capital. The transaction marks only the second management buy-out of a listed company in Finland.
Following its review of strategic opportunities for the company, the Board of Directors of Innofactor, represented by a quorum comprising the non-conflicted members of the Board of Directors, has unanimously decided to recommend that the shareholders of Innofactor to accept the tender offer.
